Direct Seller Agreement (Contract)

Nexora Fashion Pvt Ltd

This agreement is executed electronically between the Direct Selling Entity, Nexora Fashion Pvt Ltd, and the individual registering as a Direct Seller/Seller Partner (hereafter referred to as “Seller Partner”).

🔹 1. Purpose and Scope

This agreement governs the business relationship between Nexora and its Seller Partner under the co-commerce model for marketing and selling fashion and lifestyle products. This contract is made in accordance with:

  • Consumer Protection (Direct Selling) Rules, 2021
  • The Indian Contract Act, 1872
  • Other applicable laws and policies

🔹 2. Enrollment and Onboarding

  • The Seller Partner joins voluntarily, without coercion or false promise of employment.
  • There is no registration or training fee to join Nexora.
  • Each Seller Partner must be:
    • 18 years or older
    • An Indian citizen with valid KYC (PAN, Aadhaar, bank details)
  • A cooling-off period of 20 days is provided to cancel the agreement without penalty.

🔹 3. Key Business Guidelines

  • Promote and sell only Nexora-approved fashion and lifestyle products
  • Not sell above the MRP
  • Use only official promotional materials approved by Nexora
  • Maintain ethical practices and not mislead customers or recruits
  • Never represent themselves as an employee of Nexora
  • Carry their NXID identification during business activity

🔹 4. Incentive & Payment Structure

  • Commissions are paid only on actual product sales.
  • Incentives are calculated based on Nexora’s compensation plan, available on the official dashboard.
  • Nexora does not pay for recruitment; no money is earned simply by joining or referring others.
  • All earnings are deposited into the Seller Partner’s registered bank account after applicable TDS deductions.

🔹 5. Refund & Return Policy

  • Nexora’s fashion products are covered under a Return & Refund Policy.
  • Items must be returned in saleable condition with all tags intact within the specified return window.
  • Refunds are processed to the original source account. (Refer: Refund Policy PDF).

🔹 6. License Transfer

In the event of the Seller Partner’s death, the business ID (NXID) may be transferred to a pre-nominated legal heir under the License Transfer Policy, subject to verification and documentation.

🔹 7. Code of Conduct & Violations

The Seller Partner agrees to abide by Nexora’s Code of Conduct, which prohibits:

  • Misleading or coercive practices
  • Posting fake job offers in the name of Nexora
  • Unauthorized use of Nexora branding, trademarks, or content
  • Selling products of other brands using the Nexora platform

Violation may lead to:

  • Immediate suspension or termination of NXID
  • Legal or financial action

🔹 8. Grievance Redressal

All complaints must be reported within 20 days to:

Resolution will be provided within 45 days.

🔹 9. Termination Policy

Either party may terminate this agreement with or without cause. Nexora may terminate the agreement in case of:

  • Breach of Code of Conduct
  • Non-performance
  • Involvement in fraud, misrepresentation, or unlawful activity

🔹 10. Legal Framework

  • This contract is governed by Indian law.
  • Legal disputes will be settled under the jurisdiction of Nainital Court, Uttarakhand.
  • Any unresolved dispute may be referred to sole arbitration as per the Indian Arbitration Act.

I, the undersigned, confirm that I have read, understood, and agree to abide by all the terms and conditions of this contract. I understand that my participation in Nexora is as an independent Seller Partner, not as an employee.
